-Abstract: The corporate personhood debate has important implications for the intelligence age, including the question of whether machines, systems, ledgers, algorithms and other autonomous artificial agents should have some of all of the rights that natural persons enjoy or be subject to some or all of the obligations to which natural persons are bound. Corporate personhood refers to the notion that corporations may in some cases enjoy and be subject to some of the rights and obligations that natural persons have.

               To what extent could and should the arguments corporations have used to expand corporate rights extend to machines, systems, ledgers, algorithms and other autonomous artificial agents? For example, in the discussion of the ethics of accident algorithms for autonomous vehicles, who is responsible for accidents caused by self-driving cars? Is it the driver who has been relieved by the self-driving car, the author of the algorithm, the manufacturer of the car, all or some or none of them? Does the algorithm limit the liability by justifying the accident or does the accident discredit the algorithm? In confronting difficult questions about control, accountability, and the overarching purpose of regulation, the evolution of corporate personhood offers a cautionary tale. In this talk, I argue we need to define a separate set of corporate rights and obligations that are not teed off of their status as “persons” in the eyes of the law.
